These Terms and Conditions (“Terms”) govern your access to and use of the websites at pythonandvba.com and learn.pythonandvba.com and the purchase and use of any products or services offered under the Python & VBA brand by Bosau Digital LLC, a New Mexico limited liability company (“we”, “us”, or “our”). By accessing our websites or purchasing our products, you agree to be bound by these Terms. If you do not agree, please do not use our websites or products.

1. Products and Services

Python & VBA offers digital software products including Excel tools, Excel add-ins, desktop applications, mobile apps, and browser-based online tools (“Products”). Products also include online video courses hosted at learn.pythonandvba.com (“Courses”), delivered as streaming video with accompanying materials. All Products are digital in nature and are delivered electronically via download link, license key, and/or account access.

2. Purchases and Payment

All prices are listed in USD unless otherwise stated. Purchases are processed through our payment partners: Pabbly Subscription Billing, Stripe, and/or PayPal. By completing a purchase, you agree to the applicable terms and conditions of the relevant payment processor.

Some Products are available as a one-time purchase; others may be offered on a subscription basis. Pricing and billing terms are clearly stated on each product page prior to purchase.

3. License

Upon successful purchase, you are granted a limited, non-exclusive, non-transferable license to install and use the purchased Product on the number of devices permitted by your license tier, as set out in the applicable End User License Agreement (EULA), for your personal or internal business use. Unless stated otherwise at the time of purchase, a standard single-user license covers up to three (3) devices that you own or control.

The license is personal to you and may not be transferred, sublicensed, or assigned to any other individual or entity.

For Courses: your purchase grants a personal, non-transferable right to access the course through your account for the lifetime of the product. Account access may not be shared. Course videos are provided for streaming only and may not be downloaded, recorded, or redistributed. Certificates of completion are personal to the named student and do not represent an accredited qualification.

4. Prohibited Uses

You may not:

• Share, distribute, resell, or redistribute any Product or license key to third parties
• Allow others to use the Product under your license, or share your learning account so others can access purchased Courses
• Download, record, or redistribute Course videos or other course content
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any Product
• Modify, adapt, or create derivative works based on any Product
• Use any Product for any unlawful purpose
• Use our Products to send unsolicited communications (spam)
• Use our Products in a manner that violates any applicable laws or the terms of service of any third-party platform integrated with the Product (including Microsoft, Google, Twilio, Meta/WhatsApp, or others)

5. Third-Party Services

Some Products require or integrate with third-party services such as Google Maps, Twilio, Gmail, WhatsApp, KDE Connect, or a local or third-party AI service such as Ollama. For example, our Excel map add-ins send addresses to the Google Maps Platform using your own Google Maps API key, and XLlama connects to an AI model that you run or provide. Use of such Products may require you to hold your own account and API credentials with those services and to comply with their respective terms of service, including any usage limits and fees. Any data you choose to send to a third-party service is handled under that service’s own terms and privacy policy. We are not responsible for the availability, pricing, accuracy, or terms of any third-party service, nor for any costs you may incur through their use.

6. Course Accounts and Community Content

Courses are accessed through a personal account on learn.pythonandvba.com, signed in with a one-time code sent to your email. You are responsible for keeping access to that email address secure.

Courses include question-and-answer and review features. You keep ownership of what you post, and you grant us a non-exclusive license to display it within the course. Reviews appear publicly only if you explicitly opt in, and you can withdraw that consent at any time by editing your review. We may remove content that is unlawful, offensive, or spam.

Please see our Refund Policy for full details. In summary: most software Products come with a 14-day money-back guarantee; online Courses come with a 7-day window, provided less than 10% of the course has been watched; ExcelToPPT is excluded and sold as-is.

8. Intellectual Property

All Products, content, and materials on this website are the intellectual property of Bosau Digital LLC. Purchasing a Product does not transfer any ownership or intellectual property rights to you. You may not use our name, logo, or branding without prior written consent.

9. Disclaimer of Warranties

Our Products are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Products will be error-free, uninterrupted, or compatible with every system configuration.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Bosau Digital LLC shall not be liable for any indirect, incidental, consequential, or special damages (including loss of data, loss of profits, or business interruption) arising from your use of or inability to use our Products or website, even if we have been advised of the possibility of such damages. Our total liability arising from any matter related to these Terms shall not exceed the amount you paid for the Product in question.

11. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised “Last updated” date. Continued use of our website or Products after changes are posted constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any disputes will be sought to be resolved through good-faith negotiation in the first instance; failing that, disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in New Mexico.

If you are a consumer residing in the European Union, the United Kingdom, or another jurisdiction with mandatory consumer protection laws, nothing in these Terms affects your statutory rights under the laws of your country of residence.

13. General

Entire agreement. These Terms, together with our Privacy Policy, Refund Policy, and the End User License Agreement applicable to a Product, make up the entire agreement between you and us regarding your use of our websites and Products, and supersede any prior agreements or understandings on that subject.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms, for example in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, such as natural disasters, outages of third-party services or infrastructure, or government actions.
