These Terms of Use ("Terms") govern your installation and use of the AI Fuzzy Match add-in for Microsoft Excel and the online matching service behind it (together "the Add-in"), published by Bosau Digital LLC and made by Sven Bosau, operating Python & VBA at pythonandvba.com ("we", "us", or "our"). They supplement our general Terms and Conditions; where the two differ in relation to the Add-in, these Terms apply. By installing or using the Add-in, you agree to be bound by these Terms. If you do not agree, please do not install or use the Add-in.

1. The Add-in

The Add-in matches the rows of one list in Excel against a second list (for example customers against vendors). It uses an AI model to decide which entries mean the same business, organization or person, and writes the result, a confidence score and a status into new columns in your workbook (see Section 7). The Add-in works in Excel on Windows, Mac and the web.

To produce its answers, the Add-in sends the values of the columns you select, and the extra rule if you write one, to our online matching service, which uses an AI model provided by a third party. How that data is handled is described in the AI Fuzzy Match Privacy Policy.

2. Credits

The Add-in is paid for with prepaid credits. One credit pays for one AI answer for one row:

• Matching: one credit for each row of your first list that is sent to the AI model, however long the second list is.
• Thorough search: if you start a thorough search for rows that were left without a match, the Add-in asks the AI model one question for every 200 entries of your second list, plus one final question for each searched row where candidates were found. Each of these questions uses one credit, so a searched row can use several credits. The Add-in shows how many credits the search will use before it starts.
• Free of charge: rows that the Add-in resolves inside Excel (exact matches), repeated rows that share one answer, and rows that already have a result are never sent and cost nothing.
• Only rows that come back with an answer are charged. If a row fails, for example because the service is busy, its credit is not used.

Before every run, the Add-in shows how many credits the run will use and how many you have, and it does not start a run you cannot pay for in full. Credits have no cash value, cannot be exchanged for money, and can only be used in the Add-in.

3. Free Credits

Each installation of the Add-in receives 100 free credits once, without registration. The free credits are the trial of the Add-in: they let you test it on your own data before you buy. They do not reset or renew. To prevent abuse, the number of free grants per network is limited and free grants may be paused for a day when the daily free budget is used up, so free credits are not guaranteed. We may change or end the free credits for future installations at any time.

4. Credit Packs

Additional credits are sold as credit packs, a one-time purchase from pythonandvba.com. The number of credits in each pack is shown at the time of purchase. Each pack is delivered as a license key by email; you add the key in the Add-in to use its credits. More credits means buying another pack, which comes with its own key. The Add-in can hold several keys and uses them one after the other.

• Credits never expire. A pack's credits remain available until they are used, for as long as we operate the Add-in (see Sections 9 and 15).
• Credits are tied to their key. They cannot be moved to another key, combined into another key, or exchanged. The key itself can be passed on (for example to a colleague), and whoever holds the key can use its credits. Keep your key private: we cannot restore credits used by someone you shared the key with.
• A credit pack is a purchase of prepaid credits, not a subscription. Nothing renews or is charged again automatically.

5. Refunds and Your Right of Withdrawal

Credit packs are non-refundable once delivered. A pack counts as delivered when its license key has been sent to you. The 100 free credits described in Section 3 are the trial, so please test the Add-in with them before you buy. This is an exception to the general 14-day money-back guarantee described in our Refund Policy, and it applies whether or not the credits have been used.

If you are a consumer in the European Union or the United Kingdom, you are asked at checkout to agree that delivery of the credit pack begins immediately and to acknowledge that you lose your right of withdrawal once the key has been delivered. Without that consent, the purchase cannot be completed.

Nothing in these Terms limits any statutory rights you have as a consumer that cannot be excluded by contract, for example if a credit pack was not delivered or does not work as described. If you believe this applies to you, please contact us.

If a purchase is reversed or charged back, or refunded for any reason, the license key is deactivated and the pack's remaining credits are void. Credits already used are not affected.

6. AI Results

The Add-in's results are produced by an AI model. They are suggestions, not facts. The model can be wrong, even with a high confidence score, and it can miss a correct match. Results for the same data can differ slightly between runs. That is why the Add-in marks uncertain rows as "Review", lets you set a confidence threshold, and answers "No match" when no entry fits.

You must review the results before you rely on them, especially before merging, deleting, paying, or contacting anyone based on a match. The Add-in is a tool to speed up your work, not a substitute for your own judgment, and it does not provide legal, financial, accounting or tax advice. You remain responsible for how you use the results.

7. Your Data

You keep all rights to the data you process with the Add-in. You are responsible for having the right to send the data in the columns you select, and any extra rule you write, to our service and its providers, including any personal data about other people, and for complying with the laws and agreements that apply to that data.

For each row that needs an AI answer, the Add-in sends our service the values of the columns you selected in that row (without the column headers), the entries of your second list it is compared with, and the optional extra rule you write (up to 200 characters). We do not log or store the text of the extra rule. The AI Fuzzy Match Privacy Policy describes in detail what is sent and how it is handled.

By default, the Add-in writes its results into new columns to the right of your first list. In the Add-in's settings you can instead have them start at a column you choose, or go to a new sheet. It does not change anything outside those result columns, and its Clear function removes only those columns (and a results sheet the Add-in created, once that sheet is empty). Changes made by an Office add-in cannot be undone with Excel's Undo, so keep backups of important workbooks. We are not liable for changes the Add-in makes to your workbooks at your instruction.

8. Availability of the Service

The Add-in needs an internet connection and our online matching service. The service is shared by all users and paced to stay within the limits of our AI provider, so large runs can take several minutes and the Add-in may pause and continue by itself when the service is busy. We do not guarantee any particular speed, and the service may occasionally be unavailable, for example during maintenance or outages at our providers. Rows answered before an interruption keep their results.

9. Changes to the AI Provider

The Add-in depends on an AI model and infrastructure provided by third parties. If a provider withdraws the model, or changes its pricing or terms materially, we may change the model or provider used by the Add-in. If such a change means we can no longer provide the service as described for your remaining credits, we will, at Bosau Digital's choice, either honor your remaining credits with an equivalent service, or refund the unused part of your credit packs pro rata (the price you paid for a pack, in proportion to its credits you have not used).

10. Prohibited Uses

You may not:

• Use free credits other than through the Add-in, or call the matching service without a valid credit pack key. You may call the matching service directly (for example from your own scripts) with a credit pack key; such calls use that key's credits and are subject to the same rate limits and these Terms
• Send data that you are not allowed to process or share, or data whose processing is unlawful, including content that infringes the rights of others
• Use the Add-in for any unlawful purpose, or in a manner that violates any applicable laws or the terms of the platforms and providers it relies on (including Microsoft)
• Circumvent, disable, or interfere with the credit system, the free credit limits, the license validation, or any security feature of the Add-in, for example by creating installations to collect more free credits
• Resell, sublicense, or offer the Add-in or its matching service to others as a service of your own
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Add-in or the service, except where the law allows it
• Overload, disrupt, or attempt to gain unauthorized access to the service or its infrastructure

We may suspend free credits or deactivate a license key that is used in breach of this section.

11. Third-Party Services and Platforms

The Add-in runs inside Microsoft Excel / Microsoft 365 and its use is subject to Microsoft's applicable terms. Our matching service runs on Cloudflare and uses an AI model provided by TypeSafe AI, Inc. We are not responsible for the availability or behavior of these third-party platforms. Where you obtain the Add-in through Microsoft's add-in store, Microsoft's store terms also apply; these Terms are the license terms that govern the Add-in and, to the extent permitted, apply in place of any default store license terms.

12. Intellectual Property

The Add-in and all related content and materials are the intellectual property of Bosau Digital LLC. Using the Add-in or buying credits does not transfer any ownership or intellectual property rights to you. You may not use our name, logo, or branding without prior written consent. AI Fuzzy Match is not affiliated with or endorsed by Microsoft or TypeSafe AI.

13. Disclaimer of Warranties

The Add-in is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Add-in will be error-free, uninterrupted, accurate, or compatible with every system configuration, or that its results will be correct.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Bosau Digital LLC shall not be liable for any indirect, incidental, consequential, or special damages (including loss of data, loss of profits, business interruption, or damages arising from reliance on the Add-in's results) arising from your use of or inability to use the Add-in, even if we have been advised of the possibility of such damages. Our total liability arising from any matter related to these Terms shall not exceed the amount you paid for AI Fuzzy Match credit packs in the twelve months before the claim arose.

15. Termination

Your right to use the Add-in terminates automatically if you breach these Terms. On termination, you must stop using the Add-in and remove it, and any remaining credits on keys used in breach of these Terms are void. If we stop operating the Add-in for reasons other than your breach, Section 9 applies to your remaining credits. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

16. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Changes do not reduce the number of credits you have already bought. Continued use of the Add-in after changes are posted constitutes your acceptance of the updated Terms.

17. Governing Law

The Add-in is operated by Bosau Digital LLC, a limited liability company registered in the State of New Mexico, United States. These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to conflict-of-law principles. This does not deprive consumers of the protection of mandatory laws of the country where they live. Any disputes will be sought to be resolved through good-faith negotiation in the first instance.
