These Terms of Use ("Terms") govern your installation and use of the Audit Tickmarks add-in for Microsoft Excel ("the Add-in"), published by Bosau Digital LLC and made by Sven Bosau, operating Python & VBA at pythonandvba.com ("we", "us", or "our"). They supplement our general Terms and Conditions; where the two differ in relation to the Add-in, these Terms apply. By installing or using the Add-in, you agree to be bound by these Terms. If you do not agree, please do not install or use the Add-in.

1. The Add-in

The Add-in brings professional audit tick marks and review tools to Microsoft Excel: insert and remove tick marks (including several marks on one cell), sign off schedules with initials and date, place auto-numbered steps, stamp image marks (built-in or your own), highlight cells, circle findings and attach review comments, and document your review with a legend sheet and an open-items report. The Add-in works in Excel on Windows, Mac, the web, and iPad (Microsoft 365 or Office 2021 and later; features that draw shapes require a version with the Shapes API and say so otherwise).

2. Free Features and Pro License

The Add-in is free to install and its core tick marks (the "Essentials" set, the safe placements, multi-mark cells, remove, highlight, and the demo sheet) are free to use without any registration. The extended toolkit ("Pro": attach-to-value placement, the full mark library, sign-offs, numbered steps, image marks including your own, the legend sheet, the open-items report, custom marks and colors, and the mark-up tools) is unlocked with an Audit Tickmarks Pro license key, purchased from pythonandvba.com.

3. License

Upon a valid purchase, you are granted a limited, non-exclusive, non-transferable license to use the Pro features on the number of installations permitted by your license (the activation limit shown at the time of purchase and in the product documentation), subject to these Terms. Team licenses cover the number of users stated at purchase. The license is personal to you (or, for team licenses, to your organisation) and may not be transferred, sublicensed, resold, or assigned to any other individual or entity.

The license is verified online. If our license server cannot be reached, the Pro features continue to work for a short offline grace period and then re-verify once you are back online.

4. Professional Responsibility

The Add-in is a documentation and review aid, not a substitute for professional judgment. Tick marks, sign-offs, legends, and the open-items report are generated from the contents of your workbook using general-purpose rules and may be incomplete (for example, the open-items report recognizes the Add-in's own mark conventions, not every way a problem can be written down). They do not constitute audit evidence, an audit opinion, accounting, legal, or tax advice, and must not be solely relied upon for any professional conclusion. You remain responsible for your own work, for verifying results, and for complying with the professional standards that apply to you.

5. Your Data

The Add-in works directly on the workbook you have open; changes it makes (marks, formats, values, sheets, shapes, comments) are real changes to your file, and Office add-in edits cannot be undone with Excel's Undo. The Add-in is built to be conservative (formulas are never overwritten, occupied cells are skipped, its own report sheets ask before being replaced, and "Remove tick marks" restores attached formats), but you should keep backups of important workbooks and review the Add-in's confirmation prompts before proceeding. We are not liable for changes the Add-in makes to your workbooks at your instruction.

6. Prohibited Uses

You may not:

• Share, distribute, resell, or redistribute the Add-in or your license key to third parties
• Allow others to use the Pro features under your license beyond the users and activations it covers
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Add-in
• Modify, adapt, or create derivative works based on the Add-in
• Circumvent, disable, or interfere with the license validation or any security feature of the Add-in
• Use the Add-in for any unlawful purpose
• Use the Add-in in a manner that violates any applicable laws or the terms of service of any third-party platform it relies on (including Microsoft)

7. Third-Party Services and Platforms

The Add-in runs inside Microsoft Excel / Microsoft 365 and its use is subject to Microsoft's applicable terms. We are not responsible for the availability or behavior of the Microsoft platform.

Where the Add-in is distributed through Microsoft AppSource, it is also subject to Microsoft's applicable marketplace terms. These Terms are the license terms that govern the Add-in and, to the extent permitted, apply in place of any default store license terms.

Please see our Refund Policy for full details. In summary, we offer a 14-day money-back guarantee on the Audit Tickmarks Pro license. The Add-in itself is free to install; the refund applies to the license purchased from pythonandvba.com.

9. Intellectual Property

The Add-in and all related content and materials are the intellectual property of Bosau Digital LLC. The bundled emoji artwork is used under its own licenses (Microsoft Fluent Emoji, MIT; Twemoji, CC-BY 4.0), credited in the Add-in's About view. Purchasing a license does not transfer any ownership or intellectual property rights to you. You may not use our name, logo, or branding without prior written consent.

10. Disclaimer of Warranties

The Add-in is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Add-in will be error-free, uninterrupted, accurate, or compatible with every system configuration.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Bosau Digital LLC shall not be liable for any indirect, incidental, consequential, or special damages (including loss of data, loss of profits, business interruption, or professional liability arising from reliance on the Add-in's output) arising from your use of or inability to use the Add-in, even if we have been advised of the possibility of such damages. Our total liability arising from any matter related to these Terms shall not exceed the amount you paid for the Audit Tickmarks Pro license.

12. Termination

This license terminates automatically if you breach these Terms. On termination, you must stop using the Add-in and remove it. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of the Add-in after changes are posted constitutes your acceptance of the updated Terms.

14. Governing Law

The Add-in is operated by Bosau Digital LLC, a limited liability company registered in the State of New Mexico, United States. These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to conflict-of-law principles. Any disputes will be sought to be resolved through good-faith negotiation in the first instance.
