This End User License Agreement (“Agreement”) is a legal agreement between you (“Licensee” or “you”) and Sven Bosau, operating Python & VBA at pythonandvba.com (“Licensor”, “we”, “us”), governing your use of any software product purchased from pythonandvba.com (“Product”). By installing, activating, or using a Product, you agree to be bound by this Agreement. If you do not agree, do not install or use the Product and contact us at contact@pythonandvba.com to arrange a refund if applicable.

1. Grant of License

Subject to your compliance with this Agreement and upon payment of the applicable fee (or, for free Products, upon download), we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Product on up to three (3) personal devices that you own or control.

This license is for your personal or internal business use only. It does not permit use by multiple users within an organisation unless a separate multi-seat or commercial license has been purchased.

2. License Restrictions

You may not:

• Share, distribute, resell, sublicense, rent, lease, or otherwise transfer the Product or your license key to any third party
• Allow any other individual to use the Product under your license
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Product
• Modify, adapt, translate, or create derivative works based on the Product
• Remove, alter, or obscure any proprietary notices, labels, or branding within the Product
• Use the Product to develop a competing product or service
• Use the Product to send spam or unsolicited communications
• Use the Product in violation of any applicable laws or the terms of service of any third-party platform the Product integrates with

3. License Activation

Some Products use a license activation system that requires an internet connection to verify your license key against our server. Activations are limited to the number of devices covered by your license. If you need to transfer your license to a new device (for example, after replacing a computer), please contact us at contact@pythonandvba.com and we will reset your activation.

4. Third-Party Services

Certain Products interact with or require third-party services, including but not limited to: Google Maps, Google Gmail, Twilio, WhatsApp (Meta), and Microsoft Excel. Your use of these services through our Products is subject to the respective terms of service and acceptable use policies of those providers.

You are solely responsible for:

• Obtaining any required accounts, API keys, or credentials from third-party services
• Any costs or fees charged by third-party services
• Ensuring your use of third-party services through our Products complies with their terms

We are not responsible for the availability, accuracy, pricing changes, or policy changes of any third-party service.

5. Error Reporting

Some Products may automatically transmit anonymous error reports to our server to help us identify and resolve bugs. These reports do not intentionally include personally identifiable information. See our Privacy Policy for more details.

6. Updates

We may release updates, patches, or new versions of the Product from time to time. Updates are provided at our sole discretion and are not guaranteed. Any updates you install will be subject to this Agreement unless accompanied by a separate updated agreement.

7. Ownership

The Product is licensed, not sold. We retain all intellectual property rights in the Product, including all copies, modifications, and derivative works thereof. This Agreement does not grant you any rights to our trademarks, patents, trade secrets, or copyrights beyond the limited license described in Section 1.

8. Disclaimer of Warranties

The Product is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Product will be error-free, uninterrupted, or compatible with all software and hardware configurations. You use the Product at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Sven Bosau / Python & VBA be liable for any indirect, incidental, special, exemplary, or consequential damages (including but not limited to loss of data, loss of profits, or business interruption) arising from your use of or inability to use the Product, even if advised of the possibility of such damages. Our total aggregate liability under this Agreement shall not exceed the amount you paid for the Product.

10. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically and without notice if you breach any of its terms. Upon termination, you must immediately cease all use of the Product and destroy all copies in your possession. We reserve the right to remotely deactivate licenses found to be in violation of this Agreement.

11. Governing Law

Python & VBA is operated by an individual without a fixed legal establishment in any specific jurisdiction. This Agreement shall be interpreted in accordance with generally accepted principles of international commercial law. Any disputes shall be sought to be resolved through good-faith negotiation in the first instance.
