These Terms of Use ("Terms") govern your installation and use of the XLlama add-in for Microsoft Excel ("the Add-in"), published by Bosau Digital LLC and made by Sven Bosau, operating Python & VBA at pythonandvba.com ("we", "us", or "our"). They supplement our general Terms and Conditions; where the two differ in relation to the Add-in, these Terms apply. By installing or using the Add-in, you agree to be bound by these Terms. If you do not agree, please do not install or use the Add-in.

1. The Add-in

The Add-in brings local AI to Microsoft Excel, powered by Ollama. You can chat with AI models running on your own computer, include your selected spreadsheet data as context, insert answers into your worksheet, and use worksheet formulas (=XLLAMA.PROMPT, =XLLAMA.EXTRACT and, with Pro, =XLLAMA.STREAM). With a local Ollama installation the AI runs locally and your prompts and data stay on your device. The Add-in works in Excel on Windows and Excel on the web with Microsoft 365 or Office 2021 and later; a local Ollama installation is required (see Section 2 and Section 4 for platform notes).

2. What You Need to Use It

The Add-in is free to install from Microsoft AppSource, and its free tier works without any account or key. To use it, you must have:

• Ollama, free software available from ollama.com, installed and running on your computer, with at least one AI model downloaded. Ollama is third-party software, separate from the Add-in; and
• A one-time browser permission so the Add-in may talk to your local Ollama server (described in the Add-in's setup guidance), where applicable.

To unlock the Pro features (unlimited =XLLAMA.PROMPT and =XLLAMA.EXTRACT formulas per sheet, the streaming =XLLAMA.STREAM formula, and converting formula results to values in bulk), you need a valid XLlama license key, purchased from pythonandvba.com.

3. License

Upon a valid purchase, you are granted a limited, non-exclusive, non-transferable license to use the Pro features on the number of installations permitted by your license (the activation limit shown at the time of purchase and in the product documentation), subject to these Terms. The license is personal to you and may not be transferred, sublicensed, resold, or assigned to any other individual or entity.

The license is verified online. If our license server cannot be reached, the Pro features continue to work for a short offline grace period and then re-verify once you are back online.

4. Ollama, AI Models, and System Requirements

The Add-in is a client for Ollama; it does not include Ollama or any AI model. You are solely responsible for:

• Installing, configuring, running, and securing your Ollama installation (including any remote Ollama server you choose to configure);
• Choosing and downloading AI models, and complying with each model's own license terms;
• Ensuring your computer meets the hardware requirements of the models you run (local AI models can be demanding on memory and processing power).

Platform note: talking to a local (http) Ollama server from a hosted add-in is subject to the web platform's security rules. This is supported in Excel for Windows and in Excel on the web in Chromium-based browsers (Edge, Chrome). It is currently not supported in Safari or Excel for Mac, whose web engine blocks such connections. Where the connection cannot be established, the Add-in remains installable but its AI features will not function.

5. AI-Generated Content

Answers are generated by the AI model you run through Ollama. AI-generated content is probabilistic and may be inaccurate, incomplete, outdated, biased, or entirely fabricated, even when it sounds confident. The same prompt may produce different answers at different times. AI output is provided for convenience only and must not be solely relied upon for legal, financial, medical, safety-critical, or other consequential decisions. You are responsible for reviewing and verifying AI output before using or relying on it, and for how you use that output.

6. Prohibited Uses

You may not:

• Share, distribute, resell, or redistribute the Add-in or your license key to third parties
• Allow others to use the Pro features under your license
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Add-in
• Modify, adapt, or create derivative works based on the Add-in
• Circumvent, disable, or interfere with the license validation or any security feature of the Add-in (including the free-tier limits)
• Use the Add-in for any unlawful purpose, or to generate content that is unlawful
• Use the Add-in in a manner that violates any applicable laws or the terms of any third-party software or platform it relies on (including Microsoft, Ollama, and the licenses of the AI models you use)

7. Third-Party Software and Platforms

The Add-in requires and integrates with third-party software and platforms, including Ollama (and the AI models you download through it) and Microsoft Excel / Microsoft 365. Use of the Add-in may require you to comply with their respective terms and licenses. We are not affiliated with Ollama. We are not responsible for the availability, behaviour, accuracy, or terms of any third-party software or service.

The Add-in is distributed through Microsoft AppSource and is subject to Microsoft's applicable marketplace terms. These Terms are the license terms that govern the Add-in and, to the extent permitted, apply in place of any default store license terms.

Please see our Refund Policy for full details. In summary, we offer a 14-day money-back guarantee on the XLlama license. The Add-in itself is free to install and its free tier is free to use; the refund applies to the Pro license purchased from pythonandvba.com.

9. Intellectual Property

The Add-in and all related content and materials are the intellectual property of Bosau Digital LLC. Purchasing a license does not transfer any ownership or intellectual property rights to you. You may not use our name, logo, or branding without prior written consent. "Ollama" and AI model names are the marks of their respective owners; content you generate with the models is subject to those models' terms.

10. Disclaimer of Warranties

The Add-in is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Add-in will be error-free, uninterrupted, accurate, or compatible with every system configuration, nor do we warrant the availability, behaviour, or output of Ollama or of any AI model.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Bosau Digital LLC shall not be liable for any indirect, incidental, consequential, or special damages (including loss of data, loss of profits, business interruption, or any damages arising from AI-generated content or from third-party software such as Ollama) arising from your use of or inability to use the Add-in, even if we have been advised of the possibility of such damages. Our total liability arising from any matter related to these Terms shall not exceed the amount you paid for the XLlama license.

12. Termination

This license terminates automatically if you breach these Terms. On termination, you must stop using the Add-in and remove it. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of the Add-in after changes are posted constitutes your acceptance of the updated Terms.

14. Governing Law

The Add-in is operated by Bosau Digital LLC, a limited liability company registered in the State of New Mexico, United States. These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to conflict-of-law principles. Any disputes will be sought to be resolved through good-faith negotiation in the first instance.
