XLlama Terms of Use

These Terms govern the XLlama Windows add-in for Microsoft Excel ("the Add-in"), published by Bosau Digital LLC and made by Sven Bosau at Python & VBA. By installing or using it, you agree to these Terms. If you do not agree, do not install or use it. These Terms describe the Windows installer edition, not the separate classic VBA XLlama product.

1. What the Add-in does

XLlama connects Excel to downloaded AI models running in Ollama on your computer. It provides chat about selected cells, saved conversations, worksheet formulas and related tools. Only local loopback Ollama endpoints and verified local models are supported; there is no cloud AI fallback.

2. Requirements, installation and Free features

The Add-in is installed with a Windows installer, not from the Office Add-ins Store. It requires desktop Excel on 64-bit Windows, the matching .NET 10 Windows Desktop Runtime, WebView2, and a compatible local Ollama installation with a downloaded model. Both 32-bit and 64-bit Excel payloads are included. EXTRACT requires Excel with dynamic arrays. Mac, iPad, Excel for the web, native ARM64 Excel and 32-bit Windows are not supported.

The installer is unsigned. Windows or organisation policy may block installation; we do not guarantee compatibility with every security policy or computer. You are responsible for obtaining any permission required on a managed device. Save your work and close Excel before installing, updating, restoring a previous version or uninstalling.

Free works without an account or key and includes ten chat responses per local day and up to five XLlama formula cells per workbook. A request with no answer text does not consume a response; stopping after text appears counts once. Reinstalling does not reset usage. Both Free and Pro remain subject to input, output, storage, hardware and technical limits.

3. Pro licensing, updates and retained data

A valid XLlama Pro license removes the daily chat and workbook formula-count limits and adds bulk conversion of formulas to values. Upon purchase, you receive a limited, non-exclusive, non-transferable license on the number of installations permitted by your purchase. A license may not be shared, sublicensed or resold.

Activation requires internet access. Validation is normally due every 24 hours, independently of optional version checks. A confirmed inactive, refunded or revoked status ends Pro access. During a connection or server outage, a previously verified license can remain available for up to seven days from its last fresh successful check. This is not a guarantee of permanent offline activation.

Automatic version checks are off by default. You can check manually or enable them in Settings. An available update opens a download link when you choose it; XLlama does not silently install an update. A successful purchase does not guarantee compatibility with every future Excel, Windows or Ollama release.

Updating or uninstalling preserves chats, settings, license and usage records. Ollama and its models are separate and remain installed. New chat starts a separate conversation without deleting earlier ones. You are responsible for managing saved content and keeping workbook backups. 4. Ollama and model responsibilities

The Add-in does not include Ollama or AI model weights. You are responsible for installing, configuring and securing Ollama; downloading compatible local models; complying with each model’s license; and ensuring your computer has sufficient memory, processing power and disk space. Model downloads need internet access. Performance and output quality depend on the model, input and hardware.

Cloud models and remote Ollama servers are not supported. Third-party software, including Windows, Excel, WebView2 and Ollama, can have its own updates and network activity.

5. AI-Generated Content

Answers are generated by the AI model you run through Ollama. AI-generated content is probabilistic and may be inaccurate, incomplete, outdated, biased, or entirely fabricated, even when it sounds confident. The same prompt may produce different answers at different times. AI output is provided for convenience only and must not be solely relied upon for legal, financial, medical, safety-critical, or other consequential decisions. You are responsible for reviewing and verifying AI output before using or relying on it, and for how you use that output.

6. Prohibited Uses

You may not:

• Share, distribute, resell, or redistribute the Add-in or your license key to third parties
• Allow others to use the Pro features under your license
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Add-in, except to the extent applicable law or an included third-party license permits it
• Modify, adapt, or create derivative works based on the Add-in
• Circumvent, disable, or interfere with the license validation or any security feature of the Add-in (including the free-tier limits)
• Use the Add-in for any unlawful purpose, or to generate content that is unlawful
• Use the Add-in in a manner that violates any applicable laws or the terms of any third-party software or platform it relies on (including Microsoft, Ollama, and the licenses of the AI models you use)

7. Third-Party Software and Platforms

The Add-in requires and integrates with third-party software and platforms, including Ollama (and the AI models you download through it) and Microsoft Excel / Microsoft 365. Use of the Add-in may require you to comply with their respective terms and licenses. We are not affiliated with Ollama. We are not responsible for the availability, behaviour, accuracy, or terms of any third-party software or service.

The Add-in is distributed as a Windows installer through our download links, currently hosted on GitHub. It is not distributed through Microsoft AppSource. Included third-party components, including Excel-DNA and WebView2, remain subject to their respective licenses.

9. Intellectual Property

The Add-in and all related content and materials are the intellectual property of Bosau Digital LLC. Purchasing a license does not transfer any ownership or intellectual property rights to you. You may not use our name, logo, or branding without prior written consent. "Ollama" and AI model names are the marks of their respective owners; content you generate with the models is subject to those models' terms.

10. Disclaimer of Warranties

Nothing in these Terms excludes mandatory consumer rights or liability that cannot lawfully be excluded.

The Add-in is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Add-in will be error-free, uninterrupted, accurate, or compatible with every system configuration, nor do we warrant the availability, behaviour, or output of Ollama or of any AI model.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Bosau Digital LLC shall not be liable for any indirect, incidental, consequential, or special damages (including loss of data, loss of profits, business interruption, or any damages arising from AI-generated content or from third-party software such as Ollama) arising from your use of or inability to use the Add-in, even if we have been advised of the possibility of such damages. Our total liability arising from any matter related to these Terms shall not exceed the amount you paid for the XLlama license.

12. Termination

This license terminates automatically if you breach these Terms. On termination, you must stop using the Add-in and remove it. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of the Add-in after changes are posted constitutes your acceptance of the updated Terms.

14. Governing Law

The Add-in is operated by Bosau Digital LLC, a limited liability company registered in the State of New Mexico, United States. These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to conflict-of-law principles. Any disputes will be sought to be resolved through good-faith negotiation in the first instance.
